These Terms of Service (“Terms”) govern your access to and use of the routerly.io website, the routerly.io OMS dashboard, the routerly.io agent software, and related services (collectively, the “Service”) operated by Skerric Pty Ltd trading as Routerly (“Routerly”, “routerly.io”, “we”, “us”, or “our”). By creating an account or using the Service, you agree to these Terms.
1. Definitions
- Account — a registered user of the Service identified by an email address.
- Team — a workspace within the Service that owns devices, members, and any associated subscription.
- Device — a network device (typically a Teltonika® RUTOS® or OpenWrt® router) enrolled into a Team.
- Agent — the routerly.io agent software that runs on a Device and connects it to the Service.
- Subscription — a paid plan for a Team, billed on a recurring basis via our payment processor.
2. Accounts and Teams
You must provide accurate information when creating an Account and keep your login credentials secure. You are responsible for all activity on your Account. You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service.
Teams may invite additional users with roles such as Team Admin, Device Admin, Member, or Viewer. Team Admins are responsible for the actions of their Team members and for the Devices enrolled in their Team.
3. Subscriptions and Billing
Pricing is published on our website. The Free plan allows up to five (5) Devices per Team at no charge. Paid plans are billed monthly per Device at the rates published from time to time, and continue automatically until cancelled.
A Device that exists in your Team is billable regardless of whether it is currently online, offline, or unreachable. Devices are only removed from billing when deleted from the Team.
Payments are processed by Paddle.com Market Limited and/or its affiliates (“Paddle”), our merchant of record. Paddle’s terms apply to all transactions. All prices are in United States Dollars (USD) unless otherwise stated, and may exclude taxes or fees that Paddle applies based on your billing location.
Refunds are governed by our Refund Policy.
3.1 Free plan eligibility
To prevent abuse of the Free plan, a single user may be a member of only one Team on the Free plan at a time, in any role. You may belong to any number of paid Teams.
4. Your Devices and Your Data
You retain all rights to the Devices you enrol and the data they generate. By using the Service, you grant us a limited licence to process that data solely for the purpose of providing the Service to you (for example: storing device telemetry, relaying commands, brokering remote-access tunnels, and producing reports for your Team).
We do not sell your Device data. Our handling of personal data is described in our Privacy Policy.
5. Acceptable Use
You must not use the Service to:
- Enrol or operate Devices you do not own or are not authorised to manage.
- Distribute malware, conduct unauthorised network scanning, or use Devices as part of a botnet or command-and-control infrastructure.
- Bypass or attempt to bypass the Service’s authentication, authorisation, billing, or rate-limiting controls.
- Reverse engineer, decompile, or attempt to extract source code from the Service except as permitted by law or by the licence of any open-source components.
- Resell or sublicense the Service without our prior written consent.
- Use the Service in a way that violates any applicable law or the rights of any third party.
6. Service Availability and Changes
We aim to keep the Service available at all times but do not guarantee uninterrupted operation. We may add, change, or remove features, and may perform scheduled or emergency maintenance. Where reasonably possible we will provide advance notice of disruptive changes.
7. Suspension and Termination
We may suspend or terminate your Account, Team, or access to specific Devices if you breach these Terms, if your Subscription is overdue, or if your use threatens the security or stability of the Service. We will give reasonable notice where practicable and where the breach is not serious.
You may cancel your Subscription at any time from your Team Billing page. Cancellation takes effect at the end of the current billing period; see the Refund Policy for details on refunds.
On termination, you may export your Team’s data for a reasonable period. After that period, we may delete your data in line with our retention practices described in the Privacy Policy.
8. Third-Party Trademarks
Teltonika® and RUTOS® are registered trademarks of Teltonika Networks. OpenWrt® is a registered trademark of the OpenWrt Project. routerly.io is not affiliated with, endorsed by, or sponsored by Teltonika Networks or the OpenWrt Project.
9. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error free, or secure against all forms of attack.
Nothing in these Terms excludes, restricts, or modifies any consumer rights you have under the Australian Consumer Law or other applicable law that cannot lawfully be excluded.
10. Limitation of Liability
To the maximum extent permitted by law, our total aggregate liability to you arising out of or in connection with these Terms or the Service is limited to the amounts paid by you to routerly.io for the Service in the twelve (12) months immediately before the event giving rise to the liability.
Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, even if advised of the possibility.
11. Indemnity
You agree to indemnify and hold routerly.io harmless from any claim, demand, loss, or damages (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Service, or your violation of any third-party rights or applicable law.
12. Changes to these Terms
We may update these Terms from time to time. If a change is material, we will give reasonable notice (for example, by email or an in-app notice) before it takes effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
13. Governing Law and Jurisdiction
These Terms are governed by the laws of South Australia, Australia. You and routerly.io submit to the exclusive jurisdiction of the courts of South Australia and the federal courts of Australia sitting in South Australia for any dispute arising out of these Terms or the Service.
